FIRST AMENDMEV "I' TO .AGREEMENT <br />THIS FIRST ANIE \DME \T TO .AGREEMENT is entered into on Niarch 15. <br />20 1 by and between the Cite of Santa Ana. a charter city and municipal corporation <br />or,anized and existi111-1 under the Constitution and laws of the State of California (the <br />"Client") and Tiburon, Inc., a � irginia corporation with its principle place of business at <br />6200 Stoncridge wall Road. Suite 400. Pleasanton, California. 9458S (hereinafter. <br />"'I ihuron "). <br />RECITALS.- <br />A. Fhe parties entered into Agreement -r\- 2009 -146, dated March 15. 2009, (hereinafter <br />said Agreement ") b% \v hich Tiburon has provided support services relating to the <br />Fire Departments Response Management System. <br />B. in accordance �yith the terms and conditions of said Agreement, the parties xyish to <br />rene�� the Tern of the Agreement for an additional one -year period. The parties also <br />�vish to set forth the compensation payable to Tiburon for the performance of the <br />sen ices. <br />%WHEREFORE, in consideration of the covenants contained in said A_reement, as <br />amended, and subject to all the terms and conditions of said amended Agreement. except <br />those amended in this First :amendment to agreement, the parties agree as follovys: <br />1. Section I. "Terni" shall be amended as follows: <br />The first sentence of the paragraph stating "I'he term of this agreement shall commence <br />on the Effective Date and shall be in effect for a period of one (1) year" shall be deleted <br />and replaced with the follo�\ ing sentence: "The Term of this agreement. as amended. <br />shall be from 12 :01 a.m. on March I -5, 2010 to 11:59 p.m. on March 14. 2011.- The <br />remainder of the paragraph steal I remain unchan-ed <br />Exhibit 2 of the original agreement shall be replaced with a nervy Exhibit 2. Xvhich is <br />attached hereto. All references in the Ayareement to Exhibit 2 \\ ill now be to the new <br />Exhibit 2 as attached hereto. <br />3. Except as hereinaboye amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />25D -3 <br />
