Addendum 1 to Contractor Agreement ("Agreement") <br />between <br />City of Santa Ana ("City") <br />and <br />Siemens Industry, Inc. ("Contractor") <br />fka Siemens Building Technologies, Inc. <br />Dated: 12/12/09 <br />City and Contractor agree to modify the Agreement as detailed below. Where the Agreement conflicts with or differs from this <br />Addendum, the provisions of this Addendum will control. Notwithstanding anything herein to the contrary, no reference to or <br />incorporation of any contract, specification or document other than the Agreement and this Addendum shall grant rights to or <br />impose any obligations upon either party relative to warranty, indemnity, insurance, delay, liquidated damages, payment or <br />rights to drawings, computer code or other proprietary information. The Agreement is hereby modified as follows: <br />1. All references to "Siemens Building Technologies, Inc." shall be changed to "Siemens Industry, Inc., a Delaware <br />corporation" <br />WHEREFORE this Addendum modifies the Agreement between the parties dated 12/12/09 and is incorporated therein by this <br />reference. <br />2600025786
