5. PROCESS FOR TRANSFER OF THE PROPERTY. In the event that Homebuyer desires <br /> to Transfer the Property, the following procedure shall apply: <br /> 5.1 Notice to City. Prior to any Transfer, Homebuyer shall send a completed Notice <br /> of Intent to Transfer to City at the address set forth in Section 22. The Notice of Intent to Transfer <br /> shall include: (a)the identity of the proposed Transferee and contact information,including current <br /> address and phone number, (b) the proposed terms of the Transfer, (c) whether the Property is <br /> being sold to a purchaser that qualifies as a Moderate Income Household and supporting <br /> documentation, and (d) if during the Affordability Term, the proposed Affordable Sales Price and <br /> the resulting Monthly Housing Costs. If the proposed Transfer is upon expiration of the <br /> Affordability Term, then the Notice of Intent to Transfer shall include the proposed sales price and <br /> a good faith estimate of the proceeds from the sale of the Property.The City may request additional <br /> information as reasonably necessary to evaluate the requested Transfer. <br /> 5.2 Qualification of Proposed Transferee. For a transfer during the Affordability <br /> Term, the proposed Transferee shall complete an Income Verification Form, in a form approved <br /> by the City,which shall include,without limitation, a certification as to the income and family size <br /> of the proposed Transferee. <br /> 5.3 Certificates from Parties. In the event the City approves the proposed Transfer, <br /> Homebuyer and proposed Transferee each shall certify in writing, in a form acceptable to City, <br /> that the Transfer shall be closed in accordance with the terms of the sales contract and other <br /> documents submitted to and approved by City and that all consideration delivered by the proposed <br /> Transferee to owner has been fully disclosed to City. The written certificate shall also include a <br /> provision that in the event a Transfer is made in violation of the terms of this Agreement or false <br /> or misleading statements are made in any documents or certificate submitted to City for its <br /> approval of the Transfer, City shall have the right to file an action at law or in equity to make the <br /> parties terminate and/or rescind the sales contract and/or declare the sale void notwithstanding the <br /> fact that the Transfer may have closed and become final as between Homebuyer and Transferee. <br /> 5.4 Requirements for Permitted Transfers. For a Permitted Transfer during the <br /> Affordability Tenn, the City will require: (1) an assignment and assumption agreement that is <br /> reasonably acceptable to City,or(2)the proposed Transferee execute a new City Promissory Note, <br /> City Deed of Trust, and Affordable Housing Resale Restrictions. Upon expiration of the <br /> Affordability Term, the City will require a closing statement setting forth the proceeds from a <br /> proposed sale, and shall have at least thirty(30) days to review and approve the sales documents. <br /> 5.5 Written Approval of City Required Before Transfer. The purchase sale <br /> agreement or other contract for Transfer of the Property, and the Income Verification Form, shall <br /> be provided to the City,which shall have at least thirty(30) days to review. The Property, and any <br /> interest therein, shall not be conveyed by any Transfer except with the express written consent of <br /> City, which consent shall be given only if the Transfer is in accordance with the provisions of this <br /> Agreement. <br /> 5.6 Notice of Prohibited Transfer.
