SCHEDULE2 <br />Software as a Service Subscription Term and Fees <br />Subscription Term and Fees <br />a. Software: Meridian LMS <br />b. Modules/Components. The following additional modules and components are included/enabled: <br />i. Dominknow <br />ii, Ad Hoc Report Builder <br />W. Optional Content Add -on, OpenSesame Plus 100: $47,055 per year on a 3-year term <br />(discounted by 2% if paid all three (3) years in advance), <br />c. Languages. The following language packs are included/enabled: <br />i. English (US) [included] <br />d. Initial Subscription Term <br />The initial term of this subscription will be 3 years commencing from the Effective Date of this <br />Agreement. <br />e, Renewal Period Terms <br />Upon expiration of the Initial Subscription Term, this Agreement will be renewable in subsequent <br />one-year terms based on the then current pricing for the Applications. Modules/Components, and <br />Languages listed above. <br />f. Number of Authorized Users. Maximum of 1500 internal active users <br />"Authorized Users" is defined as the total number of user accounts that have access to the system <br />during the annual subscription term. <br />g. Additional User Subscription Fees <br />Additional "Authorized Users" can be added at any time during the Initial Term or renewal Period <br />Terms based on the then current Subscription pricing for additional users <br />h. Bandwidth and Storage <br />The following bandwidth and storage limitations are included as part of this Agreement, Any <br />additional bandwidth or storage required by CLIENT will be subject to current published price list. <br />• Bandwidth: 100GBimonth (1.2 TB/annually —measured annually) <br />• Additional content storage is priced at $500 annually for 100 GB. <br />Bandwidth will be measured based upon total in/out traffic. Bandwidth will be monitored on a <br />monthly basis in retation to the commitment levels, however bandwidth will be <br />
