EXHIBIT 1 <br /> AGREEMENT FOR BUDGET MANAGEMENT SOFTWARE <br /> BETWEEN EUNA SOLUTIONS IN.0 AND <br /> CITY OF SANTA ANA <br /> THIS AGREEMENT is made and entered into on this 5ch day of August, 2025 by and between <br /> Euna Solutions, Inc, a Delaware corporation ("Consultant"), and the City of Santa Ana, a <br /> charter city and municipal corporation organized and existing under the Constitution and laws of <br /> the State of California ("City"). <br /> RECITALS <br /> A. On February 11, 2025 the City issued a Request for Proposal No. 25-020 ("RFP"), by <br /> which it sought a consultant to deliver public budget management software. The City <br /> desires to retain a software provider having special skill and knowledge in the field of an <br /> integrated public citywide budgeting software system. <br /> B. Consultant submitted a responsive proposal that was selected by the City. Consultant <br /> represents that it is able and willing to provide services described in the scope of work that <br /> was included in the RFP. Consultant represents that Consultant is able and willing to <br /> provide such services to the City. <br /> C. In undertaking the performance of this Agreement, Consultant represents that it is <br /> knowledgeable in its field and that any services performed by Consultant under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> a. Consultant shall perform during the term of this Agreement, the tasks and obligations <br /> including all labor,materials,tools,equipment,and incidental customary work required <br /> to fully and adequately complete the services described and set forth in Scope of <br /> Services -Exhibit A, attached hereto and incorporated by reference. <br /> b. Software Subscription. Subject to and conditioned on City's payment of Fees and <br /> compliance with all other terms and conditions of this Agreement, Consultant hereby <br /> grants City a non-exclusive,non-sublicensable,non-transferable(except in compliance <br /> with Section 22) right to access and use the SAAS Offering (as defined in Exhibit A) <br /> during the Term, solely for use by Authorized Users in accordance with the terms and <br /> conditions herein. Such use is limited to City's internal use. Consultant shall provide <br /> City the necessary information to allow City to access the SAAS Offering. The total <br /> number of Authorized Users will not exceed the number set forth in the applicable <br /> Order Form, except as expressly agreed to in writing by the Parties and subject to any <br /> appropriate adjustment of the Fees payable hereunder. <br /> Page 1 of 11 <br /> #2072041v1 <br />
