2. Optional Extended Reporting Period <br /> a. If the Insurer cancels or nonrenews this Policy for reasons other than fraud or non-payment of <br /> premium or the Named Insured cancels or nonrenews this Policy, then the Named Insured <br /> shall have the right to purchase an optional Extended Reporting Period to immediately follow <br /> the end of the Policy Period. <br /> b. The right to purchase the optional Extended Reporting Period will lapse unless, within thirty <br /> (30) days following the end of the Policy Period, the Insurer receives written notice of the <br /> Extended Reporting Period option elected along with payment of the additional premium for <br /> such optional Extended Reporting Period, as set forth in the Declarations. <br /> c. If purchased, the optional Extended Reporting Period cannot be canceled by the Insured and <br /> cannot be canceled by the Insurer,except for non-payment of premium. <br /> d. As a condition precedent to the Named Insured's option to elect the optional Extended <br /> Reporting Period,any and all premiums and Retentions that are due must have been paid and <br /> the Named Insured must have complied with all other terms and conditions of this Policy. <br /> e. If the optional Extended Reporting Period is purchased, it shall run concurrently with the <br /> automatic Extended Reporting Period. <br /> 3. Coverage under any Extended Reporting Period applies only to Claims first made during the <br /> Extended Reporting Period, and only for Wrongful Acts, Privacy Events, or Network Security <br /> Events actually or allegedly taking place on or after the Retroactive Date and before the end of the <br /> Policy Period. Any such Claim will be deemed to have been made during the Policy Period. <br /> 4. The Extended Reporting Periods shall be subject to all other terms and conditions of this Policy. <br /> III. DEFINITIONS <br /> Whether in the singular or plural: <br /> Additional Insured means any person or entity that a Company.is required by written contractto add as an <br /> Insured to this Policy. <br /> Application means all applications, including any written application and all attachments, and all other <br /> materials and information provided by or on behalf of the Insured to the Insurer for purposes of <br /> underwriting this Policy or any policy of which this Policy is a direct or indirect renewal or replacement. <br /> Bodily Injury means physical injury, sickness, disease, or death of any person, and emotional distress or <br /> mental anguish arising out of the foregoing. <br /> Breach Costs means reasonable and necessary fees, costs, charges, and expenses, charged by a Breach <br /> Response Vendor and incurred by the Company within twelve (12) months after a Privacy Event or <br /> Network Security Event is Discovered,to: <br /> 1. conduct any investigation, including a computer forensic investigation, and analysis of the Insured's <br /> Computer System to determine the cause and extent of such Privacy Event or Network Security Event; <br /> Endurance American Specialty Insurance Company Page 3 of 30 SPP 20010119 <br />
