The Transaction, which is subject to <br /> satisfaction of customary closing conditions, will result in an assignment of the Agreement (the <br /> "Assignment") to Sierra Cyber, LLC, a Delaware limited liability company ("Sierra Cyber"). Pursuant to <br /> Agreement Clause 14, this Assignment will require Client's consent.
