17. SEVERABILITY. <br /> If any provision of this Agreement is declared invalid by a court of competent <br /> jurisdiction, the remaining terms shall remain effective, provided that elimination of the <br /> invalid provision does not materially prejudice either Party with regard to its respective <br /> rights and obligations; and in the event of material prejudice, then the adversely affected <br /> Party may terminate this Agreement. <br /> 19. APPLICABLE LAW. <br /> This Agreement shall be governed by the laws of the State of California. If either Party <br /> commences an action against the other Party arising out of or in connection with this <br /> Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, <br /> expert witness fees, costs of investigation, and costs of suit from the losing party. <br /> Page 11 of 13 <br />
