PROFESSIONAL LICENSES <br /> Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, <br /> permits, approvals,waivers, and exemptions necessary for the provision of the services hereunder <br /> and required by the laws and regulations of the United States,the State of California, the City of <br /> Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and <br /> in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and <br /> exemptions. Said inability shall be cause for termination of this Agreement. <br /> 22. FEDERAL REGULATIONS <br /> a. Convergint Technologies, LLC shall comply with all applicable contractual provisions <br /> required by the United States Office of Management and Budget (OMB), as set for the in <br /> 2 CRF Part 200, whether or not expressly set forth in this document, including but not <br /> limited to those provisions set forth below. Notwithstanding, anything to the contrary <br /> herein, including without limitation, the language in this Agreement, the actual language <br /> contained in federal statutes,federal regulations, federally promulgated materials and state <br /> statutes, shall control in determining any obligations under federal law in the event of a <br /> conflict with any terms, language or provisions contained in this Agreement. Meridian <br /> Rapid Defense Group, LLC shall not perform any act, fail to perform any act, or refuse to <br /> comply with any requests, which would cause City to be in violation of the federal terms <br /> and conditions. <br /> b. Convergint Technologies, LLC shall comply with all Federal Regulations attached hereto <br /> as Exhibit G and incorporated by reference to this Agreement. <br /> 23. NOTICE <br /> Any notice,tender, demand, delivery,or other communication pursuant to this Agreement <br /> shall be in writing and shall be deemed to be properly given if delivered in person or mailed by <br /> first class or certified mail,postage prepaid, or sent by fax or other telegraphic communication in <br /> the manner provided in this Section, to the following persons: <br /> To City: <br /> City Clerk <br /> City of Santa Ana <br /> 20 Civic Center Plaza(M-30) <br /> P.O.
