The effective date of this agreement is the effective date of the first Affiliate Registration <br />Form or the date Microsoft accepts this agreement, whichever is earlier. <br />This agreement consists of (1) the terms and conditions of this agreement and all attachments identified <br />therein, (2) the Product List, (3) the Product Use Rights applicable to Products licensed under this <br />agreement, (4) any Affiliate registration entered into under this agreement, and (5) any Order submitted <br />under this agreement. <br />The parties agree to be bound by the terms of this agreement. <br />Terms and Conditions <br />1. Definitions. <br />In this agreement the following definitions apply: <br />"Affiliate" means <br />a. with regard to Customer <br />(i) any government agency, department, office, instrumentality, division, unit or other entity <br />of the state or local government that is supervised by or is part of Customer, or which <br />supervises Customer or of which Customer is a part, or which is under common <br />supervision with Customer; <br />(ii) any county, borough, commonwealth, city, municipality, town, township, special purpose <br />district, or other similar type of governmental instrumentality established by the laws of <br />Customer's state and located within Customer's state jurisdiction and geographic <br />boundaries; and <br />SelectPlus20l2AgrGDv(US)SLG(ENG)(Oct2012) Page 1 of 16 <br />Document X20-04874 <br />
