If you have agreed in a written agreement to provide the additional insured coverage on a primary and noncontributory basis, this Policy shall be primary to other insurance available to the additional insured which covers that person or organization as a named insured for such loss and we will not seek contribution from the additional insured's policy for damages we cover, but only if the"bodily injury" or "property damage"occurs or the offense giving rise to the"personal and advertising injury"is committed subsequent to the execution of the written agreement. b. The following replaces Paragraph 4.b. Excess Insurance: Where a written agreement does not specify on what basis the liability insurance will apply, this insurance will be excess over any other valid and collectible insurance, whether primary, excess, contingent, or on any other basis available to an additional insured. This Policy will not contribute with any other such insurance. However,this insurance is excess over any other insurance available to the additional insured for which it is also covered as an additional insured for the same"occurrence", claim, or"suit'. 3. The following is added to Paragraph 8.Transfer Of Rights Of Recovery Against Others To Us of Section IV—Commercial General Liability Conditions: We waive any right of recovery against the person(s) or organization(s) shown in the Schedule above because of payments we make under this Coverage Part. Such waiver by us applies only to the extent that the insured has waived its right of recovery against such person(s)or organization(s) prior to loss. For the purposes of this endorsement, "you"and"your"mean the Named Insureds and do not include any person(s) or organization(s) included as an additional insured in A.above.
