EXHIBIT 2 <br /> FIRST AMENDMENT TO CONDITIONAL GRANT AGREEMENT <br /> HOMELESS HOUSING, ASSISTANCE AND PREVENTION GRANT <br /> THIS FIRST AMENDMENT TO CONDITIONAL GRANT AGREEMENT ("First <br /> Amendment") is made and entered into as of May [19], 2026, by and between the CITY <br /> OF SANTA ANA, a California charter city("City"), and ILLUMINATION HEALTH +HOME <br /> (FORMERLY ILLUMINATION FOUNDATION), a California nonprofit corporation <br /> ("Grantee"). <br /> RECITALS <br /> A. City and Grantee entered into that certain Conditional Grant Agreement dated October 15, <br /> 2024 ("Agreement") for the Project located at 918 North Bewley Street, Santa Ana, <br /> California. A copy of the Agreement is attached hereto as Exhibit A and incorporated herein <br /> by reference. <br /> B. City received Homeless Housing, Assistance and Prevention Program("HHAP") funds from <br /> the State of California and awarded HHAP funds to Grantee pursuant to the Agreement in the <br /> amount of Two Million Twenty One Thousand Three Hundred Nineteen Dollars <br /> ($2,021,319) (the "HHAP Grant"). <br /> C. The parties desire to amend the Agreement to modify certain provisions of the Agreement to <br /> allow for the disbursement of the HHAP Grant prior to June 30, 2026. This change will <br /> allow the City and Grantee to expend the HHAP Grant within the HHAP expenditure <br /> deadlines. <br /> NOW, THEREFORE, for and in consideration of the mutual covenants and agreements herein <br /> contained, City and Grantee agree as follows: <br /> AMENDMENTS <br /> 1. Section 3.3 (City Authority for Disbursements). Section 3.3 is hereby added to state the <br /> following: <br /> "Notwithstanding any provision of this Agreement to the contrary, City may, in its sole and <br /> absolute discretion, disburse any remaining HHAP funds prior to June 30, 2026, for eligible <br /> costs incurred by Grantee consistent with the HHAP requirements, including reimbursement <br /> for eligible costs previously incurred, provided that such disbursement complies with all <br /> applicable state guidelines and funding requirements." <br />
