INSURANCE NOT ON FILE N-2024-044-01 <br /> WORK MAY NOT PROCEED <br /> CITY CLERK <br /> DATE: MAY 21 6 2026 <br /> 0= FID W FIRST AMENDMENT TO AGREEMENT WITH CORNERSTONE <br /> 70r�Q�(J�ez pz) COMMUNICATIONS TO PROVDE STRATEGIC COMMUNICATIONS SERVICES <br /> THIS FIRST AMENDMENT to the above-referenced agreement is entered into on March 10, <br /> 2026,by and between Cornerstone Communications and the City of Santa Ana,a charter city and <br /> municipal corporation organized and existing under the Constitution and laws of the State of <br /> California("City"). <br /> f ITALS <br /> A. The parties entered into Agreement No. N-2025-167 ("Agreement") dated February I9, <br /> 2025 to provide strategic communications services for the Santa Ana Police Department. <br /> The term of the Agreement runs until June 15, 2026. The Agreement is current and in- <br /> effect. <br /> B. City and Cornerstone Communications previously entered into Agreement ffN-2024-044 <br /> with a term that expired on March 31, 2025. The term of the current Agreement <br /> commenced on June 16, 2025. During the two(2) month gap between the terms of each <br /> Agreement,Cornerstone Communications continued to provide services to the City which <br /> were not contemplated under the terms of the current Agreement between the parties. <br /> C. The parties now wish to amend the Agreement to compensate Cornerstone <br /> Communications for services provided between April 1,2025 through June 15,2025. No <br /> other changes are contemplated by this Amendment. <br /> The Parties therefore agree: <br /> I. TERM AND COMPENSATION, is hereby amended to allow the City to compensate <br /> Cornerstone Communications for work as detailed in Invoice # INV 16809 and <br /> INV 16841 attached hereto as Exhibits A-1 and A-2, respectively, to this First <br /> Amendment. The total amount of both invoices shall not exceed$5,000. <br /> Cornerstone Communications acknowledges that Exhibits A-1 and A-2 cover all prior <br /> services rendered from April 1, 2025 through June 15,2025 and that the amount required <br /> for compensation is included as part of the not-to-exceed amount of$49,000, defined in <br /> the Agreement, and is not provided in addition to or increases the overall compensation of <br /> the Agreement. <br /> 2. Except as modified by this First Amendment, all terms and conditions of the Agreement <br /> shall remain in full force and effect. <br /> [signature page to follow] <br />
