i <br /> EXHIBIT 2 <br /> i <br /> (a) In Employment. In construction on the Property, Grantee shalt not <br /> discriminate against any employee or applicant because of race,color,creed,religion,sex,marital <br /> status,sexual orientation,gender identity,gentler expression,gender,:medical conditions,genetic <br /> information,military and veteran status,age,national origin,ancestry,or disability. Grantee shall E <br /> tape affirmative action to ensure that applicants are employed, and that employees are treated j <br /> during employment, without regard to their race,color,disability, creed,religion, sex, marital <br /> status,disability,national origin,or ancestry. <br /> (b) In all Contracts. Grantee shall cause the foregoing covenants to be inserted <br /> in all contracts for any work covered by this Agreement so that such provisions will be binding upon <br /> each contractor for the benefit of City,provided that the foregoing covenant shall not apply to <br /> contracts or subcontracts for standard commercial supplies or raw materials. <br /> 6. RESERVED <br /> 7. GENERAL PROVISIONS AND WARRANTIES <br /> As a material inducement to City to enter into this Agreement, Grantee represents and <br /> warrants as follows,which representations and warranties are made solely by Grantee and not by <br /> or on behalf of any partner of Grantee: <br /> 7.1 Formation ualification and Cominliance. Grantee is a nonprofit <br /> organization. Grantee is in compliance with all laws applicable to its business and has obtained <br /> all approvals, licenses, exemptions and other authorizations:from, and has accomplished all <br /> filings,registrations and qualifications with,any Governmental Authority that are necessary for <br /> the transaction of its business. 1 <br /> 7.2 Execution and Performance of H11AP Grant Documents. <br /> (a) Grantee has all requisite authority to execute and perform its obligations <br /> under this Agreement. <br /> (b) The execution and delivery by Grantee of,and the performance by <br /> Grantee of its obligations under,this Agreement that has been authorized by all necessary action <br /> and does not and will not: <br /> (i) require any consent or approval not heretofore obtained of any <br /> person having any interest in Grantee; <br /> (ii) violate,any provision of, or require any consent or approval not <br /> heretofore obtained under, any articles of incorporation,bylaws or other governing document <br /> applicable to Grantee; <br /> (iii) result in or require the creation of any lien,claim, charge or other <br /> right of others of any kind(other than under this Agreement and under the contemplated Senior <br /> Loan Documents)on or with respect to any property now or hereafter owned or leased by <br /> 3 <br /> Grantee; <br /> 3 <br /> I <br /> City council 16 — 20 5/19/2026 <br /> i <br /> i <br />
