EXHIBIT N <br />CERTIFICATION OF CONTINUING PROGRAM COMPLIANCE <br />, a duly authorized officer of and on behalf of Santa Ana <br />WBBB, L.P. ("Owner/Operator"), hereby represents and warrants that: <br />1. He/she has read and is thoroughly familiar with the provisions of the Loan <br />Agreement, including all Exhibits thereto ("Agreement") by and among the City of Santa Ana <br />("City"), the Community Redevelopment Agency of the City of Santa Ana ("Agency"), and <br />Owner/Operator of which this certification is an Exhibit. <br />2. As of the date of this certification, each Housing Unit on the Property (other than one <br />on-site manager's unit) (i) is currently occupied by tenants qualifying as Extremely Low Income <br />Households and Very Low Income Households at an Affordable Rent (as such terms are defined in <br />the Agreement); or (ii) is currently vacant and being held available for occupancy by such tenants in <br />accordance with the Agreement and have been so held continuously since the date the previous <br />qualifying tenant vacated such Housing Unit, as indicated: [describe number of vacant Housing <br />Units and length of time each such Housing Unit has remained vacant]; or (iii) is occupied by <br />qualifying tenants whose incomes have increased above such qualifications in accordance with the <br />terms and conditions of the Agreement. <br />3. The unit size, the rental amount charged and collected by Owner/Operator, the <br />number of occupants and the income of the occupants for the Property is set forth below: [Add <br />attachment if needed] <br />This affidavit is made with the knowledge that it will be relied upon by Agency and City to <br />determine compliance with the Agreement. Owner/Operator warrants that all information set forth in <br />this document is true, correct and complete and based upon information Owner/Operator deems <br />reliable and based upon such investigation as Owner/Operator deemed necessary. <br />Owner/Operator acknowledges that Owner/Operator has been advised that the making of any <br />misrepresentation or misstatement in this affidavit will constitute a material breach of the Agreement <br />with Agency and City and may entitle Agency and City to initiate and pursue all applicable legal and <br />equitable remedies with respect such Agreement. <br />[CONTINUED ON NEXT PAGE] <br />N-1 <br />DOCSOC/ I469583v5/200272-0003
