Each individual signing this Agreement on behalf of an entity <br />represents and warrants that the individual has the right, power, legal capacity, <br />and authority to do so, and that no further approval or consent of any person, <br />spouse, officer, shareholder, board of directors, city council, or other person or <br />entity is necessary. <br />12.11. Successors and Assigns. This Agreement shall inure to the benefit of and be <br />binding upon the Parties, and their respective heirs, administrators, successors, <br />assigns, agents, employees, officers, partners and directors. Nothing in this <br />Agreement, express or implied, is intended to confer upon any person, other than <br />the Parties or their respective successors and assigns, any rights or benefits under <br />or by reason of this Agreement. <br />12.12. No Waiver. The failure of any Party to enforce any of its rights arising by reason <br />of any breach of covenant on the part of any other Party will not constitute a <br />waiver of such breach.
