Amendment to Agreement between <br />Verizon Wireless and the City of Santa Ana <br />for Wireless Services <br />THIS AMENDMENT TO AGREEMENT, made and entered into this 18th day of July, <br />2011, by and between Cellco Partnership dba Verizon Wireless, a Delaware general partnership <br />(hereinafter "Verizon "), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City ") <br />Reference: <br />The State of California Wireless Contract, hereafter referred to as CWC, contract number: 1S- <br />05-58-02. <br />The City of Santa Ana, California, hereafter referred to as the City. <br />RECITALS <br />A. Verizon and the State of California entered into that Wireless Services Contract 1 S -05- <br />58-02, (Link: http:// www. bidsync .com /DPX ?ac= agencycontview &contid= 3699), referred <br />to as the California Wireless Contract (hereinafter "CWC') by which Verizon has offered <br />wireless data services for the State and for participating local agencies; and <br />B. The initial term of the CWC expired and the State of California entered into a Western <br />States Contracting Alliance (WSCA) Participating Addendum to replace the CWC which <br />permits state and local agencies to engage in cooperative purchasing, similar to what <br />they did under the CWC; and <br />C. Verizon and the State are currently negotiating an extension of the Master Agreement <br />under either CWC or WSCA; and <br />D. Verizon has provided wireless data services to the City, on the terms and conditions set <br />forth in the CWC; and <br />E. Additional City departments have requested wireless data communications accounts to <br />support mobile computing systems within the City. <br />F. City has determined that Verizon continues to be the provider that best meets its <br />wireless data requirements and the rates set forth in the CWC/WSCA are the most <br />competitive rates available to the City. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. Scope of Services <br />Verizon Wireless will provide to the City wireless data communications services and <br />equipment, including broadband wireless access and wireless voice with text and data services. <br />25F -3 <br />
