F Notwithstanding the provisions concerning the term of the Agreement, funding shall <br />be provided according to the following provisions: <br />1. The acceptance by the SBWIB, Inc. of the performance of the Contractor under <br />the terms of the Agreement. <br />2. This Agreement is funded solely under the Workforce Investment Act (WIA). In <br />the event the WIA is canceled or WIA funds to the SBWIB, Inc. are terminated, this Agreement will <br />likewise terminate. Contractor shall have no recourse to non -WIA funds. <br />3. Contractor and SBWIB, Inc. hereby agree that payment will be by SBWIB, Inc. <br />draft within thirty (30) days following receipt and approval of each monthly invoice or within the <br />course of ordinary SBWIB, INC. business, whichever occurs first. <br />4. Payments to the Contractor may be withheld by the SBWIB, Inc. if the <br />Contractor fails to comply with the provisions of this Agreement. <br />5. Contractor shall be responsible to repay any disallowed costs as determined by <br />the SBWIB, Inc., its agent, the State or the Department of Labor (DOL). <br />III -- TERM OF AGREEMENT <br />The term of the Agreement shall be from March 18, 2011, to March 17, 2013. <br />IV -- MODIFICATIONS <br />This Agreement fully expresses the agreement of the parties. Any modifications of <br />amendment of the terms of this Agreement must be by means of a separate written document <br />approved by the SBWIB, Inc.. No oral conversation between any office or employee of the parities <br />shall modify this Agreement in any way. <br />V -- ASSIGNMENTS AND SUBCONTRACTORS <br />A. Contractor shall neither assign this Agreement nor enter into any subcontract for the <br />performance of services required herein without securing the prior consent of SBWIB, Inc.. Any <br />attempt by the Contractor to subcontract any performance of services under this Agreement without <br />
