A. Personnel. The parties agree that the Authority is the successor <br />employer to the County by operation of law, including for retirement and pension <br />purposes. On the Effective Date, each and every employee of the Fire Department shall <br />become an employee of the Authority on exactly the same terms and conditions as set <br />forth in the County's existing Memoranda of Understanding ( "MOU's "), employment <br />agreements and all other applicable employment rules, regulations, ordinances and <br />resolutions. The Board shall forthwith adopt and ratify such MOU's, employment <br />agreements, and employment rules, regulations, ordinances and resolutions for each of <br />the Authority employees and shall take such other and further actions as authorized and <br />necessary to implement this subparagraph A. The Board also shall take all necessary <br />steps to confirm continuation of membership in the County's 1937 Act Retirement <br />system on the same terms and conditions. <br />B. Assets. All Fire Department assets, including and not limited to real <br />property, including the Fire Headquarters complex located at 180 South Water Street in <br />Orange (but excepting the four deactivated fire stations located at 1502 South <br />Greenville Street, Santa Ana; 12962 Dale Street, Garden Grove; 521 North Figueroa <br />Street, Santa Ana; and 31411 La Matanza Street, San Juan Capistrano) and personal <br />property and equipment and apparatus, whether or not located at fire stations, the Fire <br />Headquarters complex, on equipment or otherwise shall transfer to the Authority in their <br />"as is" condition as of the Effective Date.
