15.3 Non-Disclosure Agreement. Prior to any approved disclosure of Confidential <br />Customer Information, SCE may require Implementer to enter into a nondisclosure <br />agreement. <br />15.4 Commission Proceedings. This provision does not prohibit Implementer from <br />disclosing non-confidential information concerning the Work to the Commission in any <br />Commission proceeding, or any Commission-sanctioned meeting or proceeding or other <br />public forum. <br />15.5 Return of Confidential Information. Confidential Customer Information (including <br />all copies, backups and abstracts thereof) provided to Implementer by SCE, and any <br />and all documents and materials containing such Confidential Customer Information or <br />produced by Implementer based on such Confidential Customer Information (including <br />all copies, backups and abstracts thereof), during the performance of this Contract <br />shall be returned upon written request by SCE. <br />15.6 Remedies. The Parties acknowledge that Confidential Customer Information is <br />valuable and unique, and that damages would be an inadequate remedy for breach of <br />this Section 15 and the obligations of the Parties are specifically enforceable. <br />Accordingly, the Parties agree that in the event of a breach or threatened breach of this <br />Section 15 by Implementer, SCE shall be entitled to seek and obtain an injunction <br />preventing such breach, without the necessity of proving damages or posting any bond. <br />Any such relief shall be in addition to, and not in lieu of, money damages or any other <br />available legal or equitable remedy. <br />16. SECURITY INCIDENT PROVISIONS <br />16.1 SCE Personal Information. <br />16.1.1 Definition. SCE Personal Information is defined as any information in the <br />possession or under the control of SCE or any of its affiliates, or that is furnished <br />or made available by SCE or any of its affiliates to Implementer in the <br />performance of this agreement, that identifies, relates to, describes, or is capable <br />of being associated with, any particular individual (whether SCE employee, <br />customer, or otherwise), including, but not limited to, his or her name, signature, <br />Social Security number, physical characteristics or description, address, telephone <br />number, passport number, driver's license or state identification card number, <br />insurance policy number, medical information or health insurance information, <br />education, employment, employment history, bank account number, credit card <br />number, debit card number, or any other financial information. <br />16.1.2 Nondisclosure of SCE Personal Information. Due to the nature of services <br />provided to implement this Project, it is not intended that Implementer will have <br />access to SCE Personal Information. However, Implementer, its employees, <br />agents and subcontractors shall not disclose any SCE Personal Information <br />(defined above) to any third party during the term of this Contract or after its <br />completion, without Implementer having obtained the prior written consent of <br />SCE, except as provided by law, lawful court order or subpoena and provided <br />Implementer gives SCE advance written notice of such order or subpoena.
