A-2009-196-02 <br />SECOND AMENDMENT TO AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on December <br />1, 2011, by and between Siemens Building Technologies, Inc., a California corporation <br />("Contractor") and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS: <br />I?N A. The parties entered into that certain Agreement A-2009-196, dated December 7, <br />2009, and subsequent amendment (hereinafter "said Agreement") by which <br />t Contractor has provided fire alarm maintenance and repair services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />w exercise the second option to extend the term and increase compensation in order to <br />pay for services during the extended term. <br />Y <br />C? WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />Section 2, COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"City agrees to pay, and Contractor agrees to accept as total payment for its test and <br />inspection services, an annual fee of $30,740.00, payable in quarterly payments of <br />$7,685.00. If additional parts or services are necessary, said services shall be <br />provided at the rates set forth in Appendix A of said Agreement, "Discounted Labor <br />& Material Pricing (Active Service Agreement Customers)". Additional parts shall be <br />priced pursuant to Contractor's Parts Price List on file with the City's Building <br />Maintenance Superintendent. The total sum to be expended under this Agreement <br />shall not exceed $38,000.00, annually, during the term of this Agreement." <br />2. Section 3, TERM, shall be amended to extend the term of said Agreement for an <br />additional one-year period, through December 31, 2012. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br /> <br />
