motion to approve the project, thus creating an impasse. Pursuant to Planning Commission <br />Bylaws (Resolution 01-44, § 8e), the applicant desired to proceed to City Council. On April 16, <br />2012, the Council, after providing notice as required by law, duly held a public hearing to <br />consider the Owner's application for this Agreement. <br />1.6 Council Findings. The Council finds that this Agreement and its <br />purposes are consistent with Government Code Sections 65864 through 65869.5, and with the <br />objectives, policies, general land uses, and program specified in the General Plan, applicable <br />Specific Plan(s) as well as all other applicable ordinances, plans, policies and regulations of the <br />City. Among other things, this Agreement will reduce uncertainty in planning for and securing <br />the orderly development of the Property, assure progressive installation of necessary <br />improvements, provide public services appropriate to each stage of development of the Property, <br />ensure attainment of the maximum effective utilization of resources within the City at the least <br />cost to its citizens, expand the availability of high-quality, affordable housing stock to the City's <br />citizens, contribute to the economic stability and revitalization of the community, enhance the <br />City's property tax revenues, and otherwise achieve the goals and purposes for which <br />Government Code Sections 65864 through 65869.5 were enacted. <br />1.7 City Ordinance. On April 16, 2012, the Council adopted Ordinance No. <br />NS- -0 1 approving this Amended Agreement. The ordinance becomes effective thirty (30) <br />days thereafter. <br />DEFINITIONS. In the Agreement, unless the context otherwise requires: <br />2.1 "Final Design" means the final design documents for work of public art, <br />which is set forth in greater detail in Section 5.8 of this Agreement. <br />2.2 "Property Owner" or "Owner" means collectively VDC at the Met, <br />LLC, a California Limited Liability Company, and its successors or assigns who or which may <br />acquire Owner's equitable and legal interest in the Property, being the person, persons, or entity <br />having a legal or equitable interest in the Property. <br />2.3 "Property" is the real property described in Exhibit A and referred to in <br />Exhibit B. <br />2.4 "Project" is the development of the Property as generally set forth in <br />Section 1.1(4) of this Agreement, Environmental Review No. J?,,Oi1- 0, L?t? , Tentative Tract Map <br />No. Cl -0 (County Map No.(7', Conditional Use Permit , Variance No._ <br />Zoning Ordinance Amendment No. 01' -01 (amending SD-43), and Site Plan Review <br />No. 20111 -6 ( . <br />2.5 "Public Art Plan" means the conceptual Plan attached hereto as Exhibit <br />C. The parties recognize that the Plan does not set forth certain elements of the Public Art to be <br />installed in conjunction with this Project, including the location of the Public Art, and is <br />therefore subject to refinement prior to the time of installation, by agreement of the Owner and <br />the City's Executive Director of Planning and Building. <br />3
