(9) City of Santa Ana <br />ATTACHMENT NO. 1 <br />SAMPLE CONTRACT WITH CITY <br />AGREEMENT <br />FOR EMS EMERGENCY TRANSPORTATION SERVICES <br />This agreement ( "Agreement ") is made and entered into this day of , 2012, by and <br />between the CITY OF SANTA ANA of Santa Ana, a municipal corporation located in the <br />County of Orange ("CITY OF SANTA ANA ") and , with <br />principal offices at ("CONTRACTOR "). <br />RECITALS <br />WHEREAS, CITY OF SANTA ANA issued a Request for Proposals on February 22, <br />2012 (Phase 1) and on July 14, 2012 (Phase 2) related to the provision of emergency <br />transportation services in the CITY OF SANTA ANA (the "RFP "). A copy of the RFP is <br />attached hereto and incorporated herein by this reference as Exhibit "A "; and <br />WHEREAS, in response to the RFP, CONTRACTOR submitted a Proposal dated <br />, 2012 (the "Proposal "), a copy of which is attached hereto and incorporated <br />herein by this reference as Exhibit "B "; and <br />WHEREAS, CONTRACTOR is an ambulance provider fully licensed and otherwise <br />qualified to perform the work required by this Agreement, and was selected by CITY OF <br />SANTA ANA following evaluation of proposals submitted in response to the RFP; and <br />WHEREAS, CITY OF SANTA ANA desires to utilize the services of CONTRACTOR <br />to provide primary ambulance transportation services and other related services in accordance <br />with the terms of the RFP and applicable federal, state and local laws; and <br />WHEREAS, at its meeting of , 2012, the Santa Ana CITY OF <br />SANTA ANA <br />Council accepted CONTRACTOR's Proposal and authorized CITY OF SANTA ANA staff to <br />negotiate an <br />Agreement with CONTRACTOR to provide emergency transportation services described in the <br />RFP and in the Proposal. <br />NOW, THEREFORE, in consideration of the mutual promises, covenants and conditions <br />herein contained, the parties hereby agree as follows: <br />Phase 2 RFP: Emergency Ambulance Transportation and Related Services Page 176 <br />June 14, 2012 <br />25F -95 <br />
