A-2012-096 <br />AMENDMENT TO AGREEMENT <br />THIS AMENDMENT TO AGREEMENT ("Amendment') made and entered into this <br />21" day of May, 2012, by and between The Library Corporation, Inc., a corporation organized <br />under the laws of the State of Maryland, ("TLC") and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and the laws of the State of <br />California ("City"). <br />RECITALS: <br />A. On December 3, 2001, the parties entered into Agreement # A-2001-238, by which TLC has <br />provided a library automation system for City. The Agreement has been amended to extend <br />the term and provide compensation during the extended term. <br />B. In order to provide continuous uninterrupted service, the Parties now desire to amend the <br />Agreement to increase the compensation to pay for an additional one-year database <br />subscription, support and maintenance service. <br />WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms <br />and conditions of the Agreement as hereby amended, the parties hereby agree as follows: <br />1. Section 2, shall be deleted in its entirety and replaced with the following: <br />"This Agreement shall commence on December 3, 2001 and terminate on June 30, 2013, <br />unless terminated earlier in accordance with Section 3 of said Agreement. The term of this <br />Agreement may be extended upon a writing executed by the Executive Director of Parks, <br />Recreation and Community Services, the City Attorney, and The Library Corporation" <br />2. The compensation for the Agreement shall be increased by an additional $34,466.00 to pay <br />for web based database subscription and maintenance services, including 24-hour telephone <br />and online support, software updates and staff training for an additional one-year period, from <br />July 1, 2012 through June 30, 2013. <br />3. Except as hereinabove modified, the terms and conditions of the Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Amendment to <br />Agreement the date and year first above written <br />ATTEST: <br />MARIA D.
