upon administrative guidelines, procedures and directions promulgated by the City <br />relating to the management, operation and maintenance of the Parking Facilities. All <br />such guidelines, procedures and directions shall be consistent with the terms and <br />conditions of this Agreement. Operator shall maintain a current Standard Operating <br />Procedures Manual (SOP Manual) specifying the operating procedures to be followed by <br />the Operator for operating within each of the Parking Facilities. <br />b. Within thirty (30) days after award of this Agreement, a copy of the written <br />procedures for operations, management, maintenance, cash handling and auditing <br />procedures for each Parking Facility shall be submitted to the Contract Administrator for <br />review and approval. Thereafter the Operator shall make necessary revisions on an as- <br />needed basis, but at least on an annual basis and no later than January 31 of each year, <br />submitted to and approved, in writing by the Contract Administrator shall approve any <br />subsequent changes or revisions in writing. The SOP Manual shall be kept up to date at <br />all times and pertinent parts shall be provided and explained to each of the Operator's <br />employees. <br />22. ASSIGNABILITY <br />The parties agree that the expertise and experience of Operator are material <br />considerations for this Agreement. Operator may not assign the performance of any <br />obligation or interest under this Agreement without the prior written consent of City. <br />Any attempt by Operator to assign this Agreement in violation of this Section will be <br />voidable at City's sole option. <br />If the Operator hereunder is a corporation or an unincorporated association or <br />partnership, the transfer of any stock or interest in said corporation, association, or <br />partnership in the aggregate exceeding twenty-five percent (25%) shall be deemed an <br />assignment within the meaning of this clause. <br />23. NOTICES <br />All notices and other communications required or permitted to be given under this <br />Agreement must be in writing and must be personally served, or mailed, postage <br />prepaid via U.S. mail, or sent via courier service, addressed to the respective parties as <br />follows: <br />To Ci : To Operator: <br />City of Santa Ana <br />Community Development Agency <br />P.O.
