Section 10.2. Brokers and Financial Advisors. The Borrower hereby represents that it has <br />dealt with no financial advisors, brokers, underwriters, placement agents, agents or finders in connection <br />with the Borrower Loan, other than those disclosed to the Funding Lender and whose fees shall be paid <br />by the Borrower pursuant to separate agreements. The Borrower and the Funding Lender shall <br />indemnify and hold the other harmless from and against any and all claims, liabilities, costs and expenses <br />of any kind in any way relating to or arising from a claim by any Person that such Person acted on behalf <br />of the indemnifying party in connection with the transactions contemplated herein. The provisions of this <br />Section 10.2 shall survive the expiration and termination of this Borrower Loan Agreement and the <br />repayment of the Borrower Payment Obligations. <br />Section 10.3. Survival. This Borrower Loan Agreement and all covenants, agreements, <br />representations and warranties made herein and in the certificates delivered pursuant hereto shall survive <br />the making by the Governmental Lender of the Borrower Loan and the execution and delivery to the <br />Governmental Lender of the Borrower Notes and the assignment of the Borrower Notes to the Funding <br />Lender, and shall continue in full force and effect so long as all or any of the Borrower Payment <br />Obligations is unpaid. All the Borrower's covenants and agreements in this Borrower Loan Agreement <br />shall inure to the benefit of the respective legal representatives, successors and assigns of the <br />Governmental Lender, the Fiscal Agent, the Funding Lender and the Servicer. <br />Section 10.4. Preferences. The Governmental Lender shall have the continuing and exclusive <br />right to apply or reverse and reapply any and all payments by the Borrower to any portion of the <br />Borrower Payment Obligations. To the extent the Borrower makes a payment to the Governmental <br />Lender or the Servicer, or the Governmental Lender or the Servicer receives proceeds of any collateral, <br />which is in whole or part subsequently invalidated, declared to be fraudulent or preferential, set aside or <br />required to be repaid to a trustee, receiver or any other party under any banikruptcy law, state or federal <br />law, common law or equitable cause, then, to the extent of such payment or proceeds received, the <br />Borrower Payment Obligations or part thereof intended to be satisfied shall be revived and continue in <br />full force and effect, as if such payment or proceeds had not been received by the Governmental Lender <br />or the Servicer. <br />Section 10.5. Waiver of Notice The Borrower shall not be entitled to any notices of any nature <br />whatsoever from the Funding Lender, the Fiscal Agent or the Servicer except with respect to matters for <br />which this Borrower Loan Agreement or any other the Borrower Loan Document specifically and <br />expressly provides for the giving of notice by the Funding Lender, the Fiscal Agent or the Servicer, as the <br />case maybe, to the Borrower and except with respect to matters for which the Borrower is not, pursuant <br />to applicable Legal Requirements, permitted to waive the giving of notice. The Borrower hereby <br />expressly waives the right to receive any notice from the Funding Lender, the Fiscal Agent or the <br />Servicer, as the case may be, with respect to any matter for which no Borrower Loan Document <br />specifically and expressly provides for the giving of notice by the Funding Lender, the Fiscal Agent or the <br />Servicer to the Borrower. <br />Section 10.6. Offsets, Counterclaims and Defenses. The Borrower hereby waives the right to <br />assert a counterclaim, other than a compulsory counterclaim, in any action or proceeding brought against <br />it by the Funding Lender or the Servicer with respect to a Borrower Loan Payment. Any assignee of <br />Funding Lender's interest in and to the Borrower Loan Documents or the Funding Loan Documents shall <br />take the same free and clear of all offsets, counterclaims or defenses that are unrelated to the Borrower <br />Loan Documents or the Funding Loan Documents which the Borrower may otherwise have against any <br />assignor of such documents, and no such unrelated offset, counterclaim or defense shall be interposed or <br />asserted by the Borrower in any action or proceeding brought by any such assignee upon such documents, <br />and any such right to interpose or assert any such unrelated offset, counterclaim or defense in any such <br />action or proceeding is hereby expressly waived by the Borrower. <br />C:1UsersltadlDesktoplSanta Ana HA Washington Place 6'] <br />BLA.doc "~ <br />DRAFT 11/28/12 8:41AM <br />
