It,.,uRANCE ON FILE <br />vvO,CK MAY PROCEED <br />UNdL INSURANCE EXPIRES <br />_1N, <br />DATE FIRST AMENDMENT TO AGREEMENT WITH FAAC, INC. <br />sap o (2)s <br />L"r, Z ,/ THIS FIRSTAMENDMENT TO AGREEMENT is entered into this 29th day of <br />Safa A August, 2013, by and between FAAC Inc., a Michigan corporation ("Consultant") Slid <br />the City of Santa Ana, a charter city and municipal corporation of the State of California <br />("City"), <br />RECITALS: <br />A, The parties entered into Agreement #N-2013-110, date July 24, 2013, for a two year <br />Agreement covering services since February 1, 2013 (expiration of previous <br />agreement) and terminating on January 31, 2015, The Agreement covered an <br />extended warranty for the Police Department's driver simulator and routine <br />maintenance. <br />B, After entering into the Agreement, it was discovered that due to the lapse in warranty <br />coverage, an inspection of the machine by the vendor is required. The inspection will <br />cost an additional $1500 which was not contemplated as part of the original <br />Agreement. The total cost of the Agreement after this Amendment will be <br />$13,080,00, <br />C, The parties now intend to amend the Agreement to provide additional compensation <br />for the required inspection. <br />NOW, THEREFORE, in consideration of the mutual and respective promises, and <br />subject to all the terms and conditions of said Agreement, except as herein modified, the <br />parties agree as follows: <br />1. Section 2, COMPENSATION, the relevant portion of subsection (a) shall be <br />amended to increase the compensation by an amount not to exceed $1,500.00 for the <br />specified Inspection required by the vendor for the extended warranty as set forth in <br />Exhibit "A" incorporated herein by reference. The total amount of the Agreement <br />after this Amendment will be $13,080.00. <br />2. Except as hereinabove modified, all forms and conditions of said Agreement shall <br />remain in full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to <br />Agreement on the date and year first written above. <br />ATTEST: <br />MARIA D.
