41c <br />v <br /> <br />.! )T RE 1LrIREL; <br />"?'.=;RK Ir1A'V PRUCEEr, <br />"LL-HK OF 000tVG1;_ <br />Amendment to Agreement between <br />Verizon Wireless and the City of Santa Ana <br />for Wireless Services <br />THIS AMENDMENT TO AGREEMENT, made and entered into this 19" day of <br />November, 2012, by and between Cellco Partnership dba Verizon Wireless, a Delaware <br />general partnership (hereinafter "Verizon"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the <br />State of California (hereinafter "City") <br />Reference: <br />The State of California, on behalf of the Western States Contracting Alliance ("WSCA") <br />and Verizon entered into WSCA Participating Addendum Master Price Contract #7-10- <br />70-16 (hereinafter "WSCA Contract"), commencing October 2010, by which Verizon has <br />offered wireless data services for the State and participating local agencies. <br />RECITALS <br />A. WSCA Contract permits state and local agencies to engage in cooperative <br />purchasing through participating agreements; and <br />B. The City of Santa Ana executed Amendment to Agreement for Wireless <br />Services A- 2011-180, dated July 18, 2011, by which Verizon has been providing <br />wireless services to the City of Santa Ana on the terms and conditions set forth in <br />the WSCA Contract; and <br />C. City has determined that Verizon continues to be the provider that best meets its <br />wireless data requirements and the rates set forth in the California WSCA <br />Contract are the most competitive rates available to the City. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. Scope of Services <br />1.1. Verizon Wireless will provide to the City wireless data communications services <br />and equipment, including broadband wireless access and wireless voice with text <br />and data services. <br />1.2. Said services shall be provided on the terms and conditions of the California <br />WSCA Contract , attached hereto as Exhibit A and incorporated by this <br />reference, including the scope, equipment, services, and pricing. <br />2. Term <br />A-2012-234 <br />The term of this Agreement shall continue through October 31, 2016, which is the <br />current term of the California WSCA Contract. In the event the California WSCA
