irrevocably consents to the personal jurisdiction of the court. The Parties each hereby <br />expressly waive the benefit of any provision of law providing for a change of venue to <br />any other court, including, without limitation, federal court, due to any diversity of <br />citizenship between the Parties or due to the fact that either party is a party to such action <br />or proceeding.
