McFadden Avenue, Santa Ana, CA <br />MEMORANDUM OF LAND LEASE AGREEMENT <br />THIS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as of <br />, 20, by and between City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California ( "Lessor "), <br />and Los Angeles SMSA Limited Partnership, d /b /a Verizon Wireless ( "Lessee "). <br />WITNESSETH: <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of that <br />certain real property (the "Property ") in the State of California, County of Orange, City of Santa Ana <br />commonly known as 2115 W. McFadden Avenue, Santa Ana, CA 92703, a legal description of which is <br />shown in Exhibit A attached hereto and incorporated herein by reference, wider the terms and conditions <br />of the unrecorded Land Lease Agreement by and between Lessor and Lessee, and incorporated herein by <br />reference (the "Agreement "), for an initial term that shall commence on the Commencement Date (as <br />defined therein) and shall expire upon the expiration or earlier termination of the term of the AT &T <br />Lease, as defined in the Agreement, which initial ten (10) year term commenced June 1, 2011 and is set to <br />expire May 31, 2621, and three (3) subsequent optional extension terms of five (5) years each, pursuant to <br />the terms of the Agreement.
