INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF CODUWO 9 I <br />DATE, <br />O 0A /hlaAihe\1er nh" psi <br />AGREEMENT FOR PROVISION OF <br />ENVIRONMENTAL CONSULTANT SERVICES <br />N- 2014 -020 <br />THIS AGREEMENT, made and entered into this I" day of January, 2014 by and <br />between Rincon Consultants, Inc., a California corporation (hereinafter "Consultant "), <br />and the City of Santa Ana, a chatter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City "). <br />RECITALS <br />A. The City issued Request for Qualifications (RFQ 13 -054) on September 12, <br />2013, in order to retain a consultant having special skill and knowledge in the <br />field of environmental consulting services. <br />B. Consultant represents that Consultant is able and willing to provide such <br />services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it <br />is knowledgeable in its field and that any services performed by Consultant <br />under this Agreement will be performed in compliance with such standards as <br />may reasonably be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide environmental consulting services, including <br />preparation, distribution and filing of environmental noticing documents, preparation of <br />studies and technical reports and other necessary services, on an on -call basis, at the <br />written direction of the Executive Director of the Santa Ana Community Development <br />Agency, or his /her designee, in compliance with the Scope of Work, attached hereto and <br />incorporated herein as Exhibit A. Consultant's Proposal, attached hereto as Exhibit A. <br />The Consultant will provide an experienced, educated and professional team, whose <br />Project Manager and staff shall be responsive and maintain excellent working <br />relationships with City staff. Consultant acknowledges and agrees to all of the terms and <br />conditions of each of the exhibits attached hereto and 'incorporated herein <br />2. REPRESENTATIVES <br />For purposes of implementing this Agreement, the representative of City shall be <br />the Executive Director of the Community Development Agency, or his /her designee, and <br />the representative of the Consultant shall be the Program Manager or his /her designated <br />representative.
