INSURANCE ON FILL <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL. <br />DATE: T2 -r t— <br />I� <br />FIFTH AMENDMENT TO AGREEMENT <br />A- 2009 - 159 -04 <br />THIS FIFTH AMENDMENT TO AGREEMENT is entered into on I" day of October, <br />2013, by and between AON cSolutions, Inc. (formerly Valley Oak Systems, Inc.), a California <br />corporation ("Cons ultant") and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"), <br />a RECITALS: <br />t A. The parties entered into that certain agreement entitled "Software Maintenance and Support <br />Agreement (A- 2007 -049) dated February 20, 2007 (hereinafter "said Agreement ") for <br />maintenance and support services for the AON workers' compensation and liability claims <br />software utilized by the City's Personnel Agency, Risk Management Division. <br />B, By Amendment dated September 8, 2009„ September 7, 2010; September 27, 2011, and <br />/ September 25, 2012 the parties extended the terms of said Agreement. <br />C. In accordance with the terms and conditions of said Agreement, the parties now wish to <br />amend the termination date and increase the amount of compensation. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Fourth Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 3.a., TERM AND TERMINATION, shall be amended to extend the term for an <br />additional one -year period, through September 30, 2014. In order to provide continuous <br />uninterrupted service, all services provided by Consultant since September 30, 2013 shall be <br />included within the Scope of Services of this Agreement. <br />2. Section 4.c., FEES AND CHARGES, shall be amended to increase compensation to pay for <br />the additional services during the extended period as set forth in Exhibit B -1 (Year 5), <br />attached hereto and incorporated by this reference. The total not to exceed amount during <br />this contract period shall be $45,000. <br />3.
