(0 <br />PURCHASE AND SERVICE AGREEMENT <br />A- 2014 -025 <br />This Agreement ( "Agreement ") dated January 21, 2014, by and between SIEMENS INDUSTRY, INC., <br />An Illinois corporation, ( "Siemens'), and the City of Santa Ana, a charter city and municipal corporation, <br />( "City "). <br />RECITALS <br />A. City, acting through the Santa Ana Police Department in its capacity as a Core City and lead <br />agency for the Anaheim 1 Santa Ana Urban Area under the FY1 1 Urban Areas Security <br />Initiative ( "UASI "), has applied for, received and accepted a grant from the Federal <br />Department of Homeland Security acting through the State of California, Emergency <br />Management Agency. Said grant will enhance countywide emergency preparedness to <br />prevent, respond to and recover from acts of terrorism by providing funding for equipment, <br />planning, training, exercises and technical assistance, hereinafter referred to as "the Grant " <br />B, The City desires to contract with an expert in design, procurement and installation of a <br />video monitoring center to enhance the video security /surveillance system protecting <br />critical facilities and infrastructure. <br />C. Siemens represents that it has the necessary skills and experience to provide the <br />equipment, installation and training necessary to implement and deliver a video <br />monitoring center at the Santa Ana Police Department. <br />D. Siemens has submitted a Proposal which identifies the scope, tasks and costs for providing <br />the video monitoring system. <br />E. In undertaking the performance of this Agreement, Siemens represents that it is <br />knowledgeable in its field and that any services performed by Siemens under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES. <br />Siemens shall furnish the tools, equipment, materials, supplies and labor required to deliver to the <br />Santa Ana Police Department, a Common Operating Picture System (hereinafter "COPS ") as set forth in <br />Siemens' Proposal dated November 18. 2013, attached hereto as Exhibit A. Required equipment and <br />services shall be performed in accordance with said Proposal, except as amended by this Agreement. <br />Additional equipment and/or system modifications may be approved, on the written approval of the City <br />Project Manager. <br />2. QUALIFICATIONS AND STANDARD OF WORK. <br />Siemens warrants that it is fully qualified to design the COPS and perform the work, and that its <br />holds any and all applicable licenses, permits and other necessary qualifications. Siemens will perform <br />the work personally or through Siemens employees. Siemens may subcontract work only on the written <br />approval of City Project Manager. <br />
