ARTICLE X <br />MISCELLANEOUS <br />Section 10.1. Notices. Any notice, request, complaint, demand or other communication <br />under this Lease Agreement shall be given by first class mail or personal delivery to the party <br />entitled thereto at its address set forth below, or by facsimile transmission or other form of <br />telecommunication, at its number set forth below. Notice shall be effective either (a) upon <br />transmission by facsimile transmission or other form of telecommunication, (b) 48 hours after <br />deposit in the United States of America first class mail, postage prepaid, or (c) in the case of <br />personal delivery to any person, upon actual receipt. Binding Effect. This Lease Agreement inures to the benefit of and is binding <br />upon the Authority, the City and their respective successors and assigns. <br />Section 10.3. Severability. If any provision of this Lease Agreement is held invalid or <br />unenforceable by any court of competent jurisdiction, such holding will not invalidate or render <br />unenforceable any other provision hereof. <br />Section 10.4. Net - net -net Lease. This Lease Agreement is a "net- net -net lease" and the <br />City hereby agrees that the Lease Payments are an absolute net return to the Authority, free and <br />clear of any expenses, charges or set -offs whatsoever. <br />-32- <br />
