Whenever in the administration of the trusts imposed upon it by this Indenture the <br />Trustee shall deem it necessary or desirable that a matter be proved or established prior to taking <br />or suffering any action hereunder, such matter (unless other evidence in respect thereof be herein <br />specifically prescribed) may be deemed to be conclusively proved and established by a <br />Certificate of the Authority, and such Certificate shall be full warrant to the Trustee for any <br />action taken or suffered in good faith under the provisions of this Indenture in reliance upon such <br />Certificate, but in its discretion the Trustee may, in lieu thereof, accept other evidence of such <br />matter or may require such additional evidence as to it may seem reasonable. <br />SECTION 8.07. Preservation and Inspection of Documents. All documents <br />received by the Trustee under the provisions of this Indenture shall be retained in its possession <br />and shall be subject at all reasonable times to the inspection of the Authority and any Owner, and <br />their agents and representatives duly authorized in writing, at reasonable hours and under <br />reasonable conditions. <br />The Trustee agrees to accept and act upon facsimile transmission of written <br />instructions and /or directions pursuant to this Indenture provided, however, that: (a) subsequent <br />to such facsimile transmission of written instructions and /or directions the Trustee shall forthwith <br />receive the originally executed instructions and/or directions, (b) such originally executed <br />instructions and/or directions shall be signed by a person as may be designated and authorized to <br />sign for the party signing such instructions and /or directions, and (c) the Trustee shall have <br />received a current incumbency certificate containing the specimen signature of such designated <br />person. <br />ARTICLE IX <br />AMENDMENT OF THE INDENTURE <br />SECTION 9.01. Amendment of the Indenture. The Indenture and the rights and <br />obligations of the Authority and of the Owners may be amended at any time by a Supplemental <br />Indenture which shall become binding when the written consents of the Owners of at least a <br />majority in aggregate principal amount of the Bonds then Outstanding, exclusive of Bonds <br />disqualified as provided in Section 9.02, are filed with the Trustee. No such amendment shall (1) <br />extend the maturity of or reduce the interest rate on or otherwise alter or impair the obligation of <br />the Authority to pay the interest on or principal of or redemption premium, if any, on any Bond <br />at the time and place and at the rate and in the currency provided herein without the express <br />written consent of the Owner of such Bond, (2) except as provided in Sections 4.01 and 4.02 <br />hereof, perinit the creation by the Authority of any pledge of the Revenues as provided herein <br />superior to or on a parity with the pledge created hereby for the benefit of the Bonds, or (3) <br />modify any rights or obligations of the Trustee without its prior written assent thereto. <br />The Indenture and the rights and obligations of the Authority and of the Owners <br />may also be amended at any time by a Supplemental Indenture which shall become binding upon <br />adoption without the consent of any Owners, but only to the extent permitted by law and after <br />receipt of an approving opinion of Bond Counsel and only for any one or more of the following <br />purposes <br />55394.00011 \8754149.4 80-5104 <br />
