cause to be taken such action as is reasonably necessary to obtain compensation at least equal to <br />the value of the Project or portion thereof taken by eminent domain. If less than the whole of the <br />Project shall be taken under the power of eminent domain and the remainder is usable for the <br />purposes for which it was used by the City at the time of such taking, then the Installment <br />Purchase Agreement shall continue in fall force and effect as to such remainder, and the parties <br />thereto waive the benefits of any law to the contrary. So long as any of the Bonds shall be <br />Outstanding, the net proceeds of any award made in eminent domain proceedings for taking the <br />Project or any portion thereof shall be transferred to the Payment Fund. Any such award made <br />after all of the Bonds have been fully paid and retired and all fees and expenses of the Trustee <br />have been fully paid shall be paid to the City. <br />SECTION 7.04. Accounting Records and Reports. The Authority will keep or <br />cause to be kept proper books of record and accounts in which complete and correct entries shall <br />be made of all transactions relating to the receipts, disbursements, allocation and application of <br />the Revenues, and such books shall be available for inspection by the Trustee, at reasonable <br />hours and under reasonable conditions. Not more than 270 days after the close of each Fiscal <br />Year, the Authority shall famish or cause to be furnished to the Trustee a complete financial <br />statement covering receipts, disbursements, allocation and application of Revenues for such <br />Fiscal Year, and including a profit and loss statement and balance sheet. The Authority shall also <br />keep or cause to be kept such other information as is required under the Tax Certificate. <br />SECTION 7.05. The Citv's Budgets. The Authority will supply to the Trustee, as <br />soon as practicable after the beginning of each Fiscal Year but in any event no later than <br />September 1 of each Fiscal Year, a Certificate of the City certifying that the City has made <br />adequate provision in its annual budget for such Fiscal Year for the payment of all installments <br />due under the Installment Purchase Agreement in such Fiscal Year. If the amounts so budgeted <br />are not adequate for the payment of all installments due under the Installment Purchase <br />Agreement in such Fiscal Year, the Authority will take such action as may be necessary and <br />within its power to cause such annual budget to be amended, corrected or augmented so as to <br />include therein the amounts required to be paid by the City in such Fiscal Year for the payment <br />of all installments due under the Installment Purchase Agreement in such Fiscal Year, and will <br />notify the Trustee of the proceedings then taken or proposed to be by the Authority. <br />SECTION 7.06. Installment Purchase Agreement and Other Documents. The <br />Authority will at all times maintain and vigorously enforce all of its rights under the Installment <br />Purchase Agreement, and will promptly collect all installments due for the purchase of the <br />Project as the same become due under the Installment Purchase Agreement, and will promptly <br />and vigorously enforce its rights against any person who does not pay such installments as they <br />become due under the Installment Purchase Agreement. The Authority will not do or pen-nit <br />anything to be done, or omit or refrain from doing anything, in any case where any such act done <br />or permitted to be done, or any such omission of or refraining from action, would or might be a <br />ground for cancellation or termination of the Installment Purchase Agreement by the purchaser <br />thereunder. <br />SECTION 7.07. <br />Other Liens. The Authority will <br />keep <br />the Project free from <br />judgments, mechanics' and <br />materialmen's liens (except those <br />arising <br />from the acquisition, <br />construction and installation <br />of the Project) and free from all <br />liens, <br />claims, demands and <br />55394.0001 t \8754149.4 8049-98 <br />
