INSURANCE ON NXE A-2014-163 <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL. <br />,DATE: q—t —I <br />FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT, is made and entered into this Ist day of July 2014, by and <br />between the City of Santa Ana, a charter city and municipal corporation duly organized and existing <br />under the Constitution and laws of the State of California {"City"} and Legacy Voicemail, Inc. <br />("Vendor), collectively referred to herein as "the Parties". <br />RECITALS <br />A. The Parties entered into Agreement N-2011-094 dated June 20, 2011, hereinafter <br />referred to as the "Agreement", for providing telephone system maintenance and <br />products. <br />B. The Parties now desire to amend the Term of the Agreement in order to provide <br />continuous uninterrupted service under the Agreement. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all of the terms and conditions of the <br />Agreement as hereby amended, the Parties agree as follows: <br />I. The City hereby exercises the option set forth in Section 2, "Term", to extend the tern for <br />an additional one ( 1) year period, through June 30, 2015. <br />2. Except as modified herein, the terms and conditions of the Agreement remain unchanged <br />and in full force and effect. <br />IN WITNESS WHEREOF, the Parties have executed this First Amendment to the Agreement <br />on the date and year written above. <br />ATTEST: <br />��` <br />MARIA D.
