14J4 Costs. Each of the Parties will be responsible for and bear all of their own <br />respective costs and expenses (including any broker's or finder's fees and the expenses of their <br />respective attorneys and representatives) incurred at any time in connection with pursuing or <br />consummating the Proposed Transaction. <br />14,15 Disclosure. To the extent allowable under applicable law, without the prior <br />written consent of the other Parties, no Party will, and will cause their representatives not to <br />make, directly or indirectly, any public comment, statement or communication with respect to, or <br />otherwise to disclose or to permit the disclosure of the terms, conditions or other aspects of the <br />Project. If a Party is required by law to make any such disclosure, it must first provide to the <br />other Parties the content of the proposed disclosure, the reasons that such disclosure is required <br />by law, and the time and place that the disclosure will be made. <br />14,16 Termination for Other Reasons. In the event that this Agreement or the <br />Parties' relationship established herein at any time during the teen, either (a) adversely affects <br />SJHS or TSJ or any of its Affiliate's tax - exempt status or the tax - exempt status of interest on <br />securities issued by SJH or any of its Affiliates, or (b) requires action to be taken with respect to <br />the on securities issued by SJH or any of its Affiliates, SJHS or TSJ, as applicable DEVELOPER <br />may, in SJHS's or TSJ's, as applicable, sole discretion, (x) terminate this Agreement, or (y) <br />require amendment of this Agreement to reasonably remediate the adverse effect on the impacted <br />Party's tax - exempt status or the tax - exempt status of interest on the securities issued by SJHS or <br />TSJ or any of its Affiliates, as applicable. <br />[Signatures on following page] <br />-15- <br />48677228.1 <br />
