EXHIBIT E <br />INCUMBENCY CERTIFICATE <br />I, Maria Huizar, do hereby certify that I am the City Clerk of the City of Santa Ana, a municipal <br />corporation, which is a duly established and validly existing as a political subdivision of the State of <br />California wider the Constitution and laws of the State of Californa, and that I have custody of the <br />records of such entity. <br />I hereby certify that, as of the date hereof, the individuals named below are the duly elected or <br />appointed officers of the District holding the offices set forth opposite their respective names. I further <br />certify that: <br />{i) The signatures set opposite their respective names and titles are their true and authentic <br />signatures, and <br />{ii) Such officers have the authority on behalf of such entity to: <br />a. Enter into that certain Equipment Lease - Purchase Agreement and Equipment <br />Schedule both dated May 22, 2015 (the "Lease Agreement'), between the CITY OF <br />SANTA ANA and Holman Capital. Corporation, as lessor, and <br />b. Enter into that certain Escrow dated May 22, 2015 (the ".Escrow Agreement "), <br />between the CITY OF SANTA ANA, American River Bank, as escrow agent, and <br />Holman Capital Corporation, as lessor, and to execute various payment and <br />disbursement request forms, <br />c.
