IN6URANC€ ON FILE <br />WORKMAYPROCEED <br />'UNTIL111 ANCEEXPIRES <br />ATEK}�C®� <br />CONSULTANT AGREEMENT <br />N-2015-122 <br />THIS AGREEMENT is made and entered into this 15t" day of July 2015, by and between JMG Security <br />Systems, Inc., a California corporation, (hereinafter "Consultant"), and the City of Santa Ana, a charter <br />city and municipal corporation organized and existing under the Constitution and laws of the State of <br />California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of video <br />surveillance systems, and the monitoring and maintenance of such systems. <br />j B. Consultant represents that Consultant is able and willing to provide such services to the City. <br />Consultant has been providing such services to the City for numerous years and the City is <br />satisfied with such services. <br />® C. The City has outstanding invoices due to Consultant for continuous services rendered to the <br />City since July 1, 2014, which the City intends to pay hereunder. <br />3 <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall perform those services as set forth in Exhibit A (the Platinum Preferred <br />Service Plan) and Consultant shall also perform those services as set forth in Exhibit B (the <br />Commercial Security / Fire Alarm System Agreement) to this Agreement, attached hereto and <br />incorporated herein. The Parties hereby incorporate the Addendum to Consultant Agreement as set <br />forth in Exhibit C attached hereto and incorporated herein. <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A, Exhibit B, and Exhibit C. The total sum to be <br />expended under this Agreement shall not exceed $25,000.00 during the term of this <br />Agreement (inclusive of additional optional sales/installation - preferred service plan fees). <br />b. Additional sales/installation fees and additional per month preferred service pian fees as set <br />forth in Exhibit C represent additional optional sales/installation/service plan fees which the <br />City may choose to incur as part of an elective upgrade/expansion of the City's current <br />security system. The option to upgrade/expand said security system may be exercised by <br />the City, in whole or in part, at any time during the term of this Agreement, upon a writing <br />executed by the Executive Director of the Finance & Management Services Agency. The <br />schedule of sales/installation/service plan fees set forth in Exhibit C shall be fixed for the first <br />forty-five days following the date of this Agreement. The City may elect to vary the purchase <br />of system components and installation services and/or service plans in any combination and <br />in any amount not to exceed $5,000.00 in additional sales/installation fees and $15.00 per <br />month in preferred service plan fees. <br />c. City agrees to pay past due invoices for services rendered by Consultant from July 1, 2014 <br />
