A -2014- 220 -01 <br />\, AMENDMENT NO. 1 <br />EXCLUSIVE RIGHT TO NEGOTIATE AGREEMENT <br />* j ` THIS AMENDMENT, is made and entered into this c�3elo day of June 2015, between <br />4 St. Joseph Health System, a California nonprofit public benefit corporation ( SJHS "), Taller San Jose, a <br />California nonprofit public benefit corporation ( "TSJ "), and the City of Santa Ana, California, a municipal <br />corporation organized as a charter city ( "CITY "). <br />WHEREAS, an Exclusive Right to Negotiate Agreement ( "Agreement ") was entered into <br />between SJHS, TSJ, and the CITY on September 17, 2014. SJHS and TSJ together are referred to as <br />( "DEVELOPER ") as specified in the Agreement; and <br />WHEREAS, CITY and DEVELOPER mutually agree to amend the Agreement to extend the <br />negotiation period for no more than one hundred eighty (180) days pursuant to Section 4 of the <br />04 Agreement. <br />NOW THEREFORE, CITY AND DEVELOPER hereto, intending to be legally bound, do <br />hereby agree to the following amendment: <br />1. Term of Agreement. The term of the negotiation period, pursuant to Section 4 of <br />the Agreement, shall be extend from May 12, 2015 through November 11, 2015. <br />In all other respects, the terms of the Agreement between CITY and DEVELOPER shall <br />apply. <br />All other terms and conditions of the Agreement shall remain unchanged, and except as <br />expressly modified by this Amendment, the Agreement shall remain in full force and effect. <br />[Signature Page Follows] <br />
