EXHIBIT A <br />TO <br />PROFESSIONAL SERVICES AGREEMENT FOR FINANCIAL ADVISOR <br />BY AND BETWEEN <br />THE CITY OF SANTA ANA <br />AND <br />FIE]LDMAN, ROLAPP & A,SSOCIATES <br />Scope of Services <br />Our scope of services will include the following: <br />1) Consultant will review the City's existing fiscal condition, outstanding debt and available <br />reserves. <br />2) Consultant will review and project the City's financial condition and potential credit <br />outlook, review existing policy framework, forecasted future results and perform General <br />Fund, and additional City funds if required, reserve level stress tests. <br />3) Consultant will analyze and develop the benclimark credit ratios that will serve as the <br />foundation for the City's rating and meet with City staff to discuss our initial <br />observations. <br />4) Based on our understanding of the various scoring criteria, Consultant will highlight the <br />City's strengths and point to mitigating factors that alleviate some of the weaknesses. <br />a. Consultant will manage the entire credit rating process, serving as an extension <br />of staff and as the City's advocate, preparing all materials including agenda and <br />minutes, coaching the presenters as needed, answering all follow -up questions <br />and information requests from the credit analysts, reviewing the rating report and <br />assisting the City in communicating the results to its stakeholders, both internal <br />and external. <br />5) Consultant will then develop a plan for developing and preparing the presentation to the <br />rating agencies and perform stress tests, conduct peer analysis and prepare comparisons <br />to industry medians. <br />C) Consultant will schedule rating agency presentations, coordinate to make sure the <br />appropriate and most knowledgeable rating agency personnel is assigned to the City and <br />available for the presentation and we will develop presentation materials and assist the <br />City in preparing for the presentations. <br />7) Consultant will analyze the City's ability to finance /pay for needs and factor in future <br />borrowing plans in addition to existing debt profile as it relates to the City's General <br />Fund and Enterprise, accounts. <br />8) Consultant will hold a "kick -off" meeting on 10129115 to cover the project and tasks <br />timeline and to discuss the credit rating process. <br />CITY OF SANTA ANAIFTELDMAN, ROLA.PP a ASSOCIATES Exhibit A, Page 1 <br />PRA T'roject No. 15307 <br />
