Governing Law. <br />Except to the extent that this Agreement is governed by the laws of the United States, this <br />Agreement shall be governed, interpreted and enforced in accordance with the laws of the <br />State of California, without regard to its conflict of law provisions. <br />XIV.Integration. <br />This Agreement and the Purchase Agreement contain the entire understanding between the <br />parties and supersede any proposal or prior agreement regarding the subject matter herein. <br />This Agreement is made for the benefit of the parties, and is not intended to benefit any <br />third party or be enforceable by any third party.
