Developer Representations And Warranties <br />The representations and warranties of the Developer contained in Article 1 <br />Section 11 shall be based upon the actual knowledge of the Developer as of the <br />Effective Date, and are true and correct as of the Effective Date, The <br />Developer's liability for misrepresentation or breach of warranty, representation <br />or covenant, wherever contained In this Inclusionary Housing Agreement, shall <br />survive the execution and delivery of this Inclusionary Housing Agreement. <br />The Developer hereby makes the following representations, covenants and <br />warranties, and Developer acknowledges that the execution of this Inclusionary <br />Housing Agreement by the City has been made in material reliance by the City <br />on such covenants, representations and warranties: <br />1111-A. The Developer is a Delaware limited liability company, lawfully entitled to <br />do business in the State of California and the City. The Developer has the <br />legal right, power and authority to enter Into this Inclusionary Housing <br />Agreement and the instruments and documents referenced herein and to <br />consummate the transaction contemplated hereby.
