Section 7.03 huformation. The Fiscal Agent shall provide to the City such information
<br />relating to the Bonds and the funds and accounts maintained by the Fiscal Agent hereunder as the
<br />City shall reasonably request, including, but not limited to, quarterly (or other frequency agreed
<br />to by the City and the Fiscal Agent) statements reporting funds held and transactions by the
<br />Fiscal Agent,
<br />Section 7.04 Notice to Fiscal Agent. The Fiscal Agent may rely and shall be protected
<br />in acting or refraining from acting upon any notice, resolution, request, consent, order,
<br />certificate, written direction, report, warrant, bond or other paper or document believed by it to
<br />be genuine and to have been signed or presented by the proper party or proper parties. The
<br />Fiscal Agent may consult with counsel, who may be counsel to the City, with regard to legal
<br />questions, and the written opinion of such counsel shall be full and complete authorization and
<br />protection in respect of any action taken or suffered by the Fiscal Agent hereunder in good faith
<br />and in accordance therewith.
<br />Whenever in the administration of its duties under this Agreement the Fiscal Agent shall
<br />deem it necessary or desirable that a matter be proved or established prior to taking or suffering
<br />any action hereunder, such matter (unless other evidence in respect thereof be herein specifically
<br />prescribed) may, in the absence of willful misconduct on the part of the Fiscal Agent, be deemed
<br />to be, conclusively proved and established by a certificate of the City, and such certificate shall
<br />be full warranty to the Fiscal Agent for any action taken or suffered under the provisions of this
<br />Agreement or any Supplemental Agreement upon the faith thereof, but in its discretion the Fiscal
<br />Agent may, in lieu thereof, accept other evidence of such matter or may require such additional
<br />evidence as to it may seem reasonable.
<br />Section 7.05 Compensation, Indemnification. In addition to any written fee agreement,
<br />the City shall pay to the Fiscal Agent from time to time reasonable compensation for all services
<br />rendered as Fiscal Agent under this Agreement, and also all reasonable expenses, charges, fees
<br />and other disbursements, including those of its attorneys, agents and employees, incurred in and
<br />about the performance of its powers and duties under this Agreement, and the Fiscal Agent shall
<br />have a lien therefor on any funds at any time held by it under this Agreement, and the Fiscal
<br />Agent shall pay and reimburse all expenses, charges, fees and other disbursements, including
<br />those of its attorneys, agents and employees, incurred in connection therewith from the funds
<br />held by it under this Agreement. The City further agrees, to the extent permitted by applicable
<br />law, to indemnify and save the Fiscal Agent, its officers, employees, directors and agents,
<br />harmless from and against any liabilities which it may incur in the exercise and performance of
<br />its powers and duties hereunder which are not due to its negligence or willful misconduct. The
<br />obligation of the City under this Section 7.05 shall survive resignation or removal of the Fiscal
<br />Agent under this Agreement and payment of the Bonds and discharge of this Agreement.
<br />Section 7.06 Books and Accounts. The Fiscal Agent shall keep, or cause to be kept,
<br />proper books of record and accounts, separate from all other records and accounts of the Fiscal
<br />Agent, in which complete and correct entries shall be made of all transactions made by it to the
<br />expenditure of amounts disbursed from the Redemption Fund, the Reserve Fund, the
<br />Improvement Fund, the Rebate Fund and the Cost of Issuance Fund. Such books of record and
<br />accounts shall, upon reasonable notice, at all times during business hours be subject to the
<br />inspection of the City and the Owners of not less than ten percent (10 %) of the aggregate
