tNSUWAN"k: ON ME <br />WORK MAY PROCEED <br />A-2014-193-02 <br />UNTIL INSURANCE EXPIRES <br />GtERK O1' CQUNCIF <br />DATE: 2 2,116 <br />THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />WITH HOLLAND AND KNIGHT <br />"T'HIS THIRD AMENDMENT to the above - referenced agreement is entered into on June 14, 2016 by and <br />between Holland and Knight, with its principal place of business at 800 17th Street N.W., Washington, D,C. 20006 <br />( "Consultant "), and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California ( "City"), <br />RECITALS <br />A. The parties entered into Agreement #A -2014 -193, effective July 1, 2014 ( "Agreement "), by which <br />-U Consultant agreed to provide federal legislative advocacy and liaison services to City. <br />B. The term of the Agreement was for an initial period of one year, from July 1, 2014 through July 1, 2015, with <br />two one -year options exercisable by the City. <br />C. The parties executed a. First Amendment No. A- 2014 - 193 -01 to exercise the first option and extend the term of the <br />Agreement for an additional one -year period, from July 1, 2015 through June 30, 2016. <br />D. On May 9, 2016, the parties executed a Second Amendment No. A- 2016 -081 by which the annual compensation <br />payable to Consultant was increased from $100,800 (or $8,400 monthly) to $117,600 (or $9,800 monthly), <br />E, The parties now wish to amend the Agreement to exercise the second one -year option and extend the term of <br />the Agreement for a final one -year period. <br />The Parties therefore agree: <br />1, Section 3.1.2, Term, is amended to extend the term of the Agreement for the one year period from July 1, <br />2016 through June 30, 2017, <br />2. Except as modified by this Third Amendment, and all prior Amendments, all terms and conditions of the <br />Agreement shall remain in full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Fourth Amendment to the Agreement on the date <br />and year first written above. <br />ATTEST <br />AR 1-j <br />. <br />M A D.
