2. COMPENSATION <br />CITY agrees to compensate CONSULTANT for services under this Agreement as described <br />in Exhibit "B". <br />3. TERM OF AGREEMENT <br />The initial term for the provision of services as set forth in Section 1 of this Agreement shall <br />be for a period of two (2) years commencing January 1, 2017, with one (1) one-year option <br />exercisable in the sole discretion of the City, by a writing executed by the City Manager and <br />the City Attorney, if neither party has terminated said Agreement in accordance with the <br />process for termination as set forth in Exhibit "C", Section 3-7.0. <br />4. GENERAL TERMS AND CONDITIONS <br />The General Terms and Conditions for this Agreement are as described in Exhibit "C". <br />5. CONSULTANT or personnel of CONSULTANT engaged in the <br />performance of such services shall not represent themselves to be, nor shall they be <br />deemed to be, employees of CITY for any purpose whatsoever. <br />6. COORDINATION OF WORK <br />Contract Officer <br />The Contract Officer shall be the person designated hereunder by CITY. It shall be <br />the CONSULTANT'S responsibility to assure that the Contract Officer is kept informed of the <br />progress of the performance of the services and the CONSULTANT shall refer any <br />decisions which must be made by CITY to the Contract Officer. Unless otherwise specified <br />herein, any approval of CITY required hereunder shall mean the approval of the Contract <br />Officer. The Contract Officer shall have authority to sign all documents on behalf of the <br />CITY required hereunder to carry out the terms of this Agreement. <br />City of SANTA ANA Willard V.
