the Facilities shall be exclusively for the mutual use and benefit of all the Parties and those <br />additional parties allowed pursuant Section 8 below. <br />2.7.2 Within forty (40) days of the Effective Date, SANTA ANA shall pay the amount of ONE <br />MILLION DOLLARS and 00/100 ($1,000,000.00) to OCFCD as the initial deposit of 0&M <br />funds into the 0&M Account ("Initial O&M Deposit"). <br />2.7.3 Atter exhaustion of the Initial 0&M Deposits, SANTA ANA agrees to contribute to <br />long -tern O&M costs per its proportionate share as specified in Exhibit C2. <br />2.8 Project Costs <br />2.8.1 SANTA ANA shall be reimbursed for its actual Project Costs and actual design and <br />construction administrations costs not to exceed the estimated amounts shown on Exhibit C3. <br />SANTA ANA shall prepare invoices accordingly and shall be reimbursed from the Project Fund <br />after sending its invoice(s) with documentation substantiating its actual costs to the Project <br />Representatives within 30 days of reimbursement. <br />SECTION 3 <br />RESPONSIBILITIES OF <br />OCFCD AND COUNTY <br />3.1 General. Resnonsibilities <br />3.1.1 OCFCD and COUNTY ("OCFCD/COUNTY") shall review the Project plans and <br />financially contribute toward the Project Fund as shown in Exhibit C2. Within forty (40) days of <br />the execution of this Agreement, OCFCD and COUNTY shall deliver to SANTA ANA a hump <br />stun amount for design, construction, and the annual O&M; not exceed ONE MILLION, SIX- <br />I-IUNDRED TIIOUSAND ($1,600,000) as established per Exhibit C2, which will be deposited <br />into the Project Fund Account. Upon sign -off of all related CPP at completion of Project <br />construction according to the Approved Plan, OCFCD shall take ownership, ongoing long tern <br />O&M for the portion of the Facility located upon OCFCD, COUNTY and/or JWA right-of-way, <br />3.2 Environmental Review / Permitting <br />3.21 OCFCD/ COUNTY and JWA shall comply with all of the commitments and conditions <br />set forth in the environmental documentation, environmental permits, approvals, and applicable <br />agreements obtained for the Project provided those commitments and conditions have been <br />approved by the OCFCD/COUNTY Project Representative and applied to each Party's <br />responsibilities under this Agreement. <br />3.2.2 OCFCD/ COUNTY Project Representative's prior review and approval of permit <br />conditions and other resource agency approvals shall be required for any that affect or could <br />impact the construction or O&M of the Diversion Structure within OCFCD or COUNTY right- <br />of-way or facilities, or other OCFCD/ COUNTY O&M activities, <br />3.3 Design <br />Santa Ana -Delhi Channel Diversion Project Agreement D15-013 Page 17 of 69 <br />23A-69 <br />
