AGREEMENT <br />FOR THE PURCHASE OF MICROSOFT PRODUCTS <br />THIS OPTION TO RENEW the above -referenced agreement is entered into on January 17, 2017 by and <br />between SoftwareONE, Inc. ("SoftwareONE") and the City of Santa Ana, a charter city andmunicipal <br />corporation organized and existing under the Constitution and laws of the State of California ("City"), <br />RECITALS <br />A. On December 3, 2013, the City entered into Agreement #A-2013-186 with CompuCorn Systems, <br />Inc. ("Agreement"), through which the City elected to purchase various Microsoft licenses and <br />services in voliune from CornpuCom, a "Large Account Reseller" of Microsoft products. <br />B. The specific terrns and conditions of the Microsoft products are governed. by Microsoft Enterprise <br />Agreement No. OIE73970 for State and Local Goverrnments, as amended, presently in effect <br />between Microsoft and the County of Riverside, incorporated by the Agreement for application to <br />the City, and attached as Exhibit A. <br />C. In 2015, SoftwareONE acquired CompuCom's Microsoft licensing business and succeeded to its <br />operations as a Large Account Reseller of Microsoft products. <br />D. The Tenn of the Agreement itself was for three years from the City's acceptance of the Microsoft <br />Enterprise Agreement specified in Recital E, meaning that the City's Microsoft licensing period for <br />its Microsoft products began on February 1, 2014 and remains in effect until January 31, 2017, <br />pursuant to Microsoft Enterprise Enrollment No, 7959281. <br />E. The Agreement provides for an option to renew for an additional three-year period, exercisable by <br />the City Council, and the City now wishes to exercise that option for a three-year term beginning on <br />February 1, 2017 and ending on January 31, 2020, in order to renew its Microsoft licenses through <br />SoftwareONE for the same period under the same terms and conditions. <br />F. In furtherance of renewal, and following approval of this option to renew, the City shall execute a <br />new Microsoft Enterprise Enrollment. <br />The Parties therefore agree: <br />L Section 2 of the Agreement, Compensation, is amended to include an additional amount not to <br />exceed $500,000 annually for the additional three-year period ending on January 31, 2020. <br />2. Section 3 of the Agreement, Team, is mriended. to provide that the Agreement expires on January <br />31, 2020. <br />3. All references in the Agreement to "Coinpucom Systems, Inc." or "Compucom" are adjusted to <br />"SoftwareONE". <br />4. Section S of the agreement, Notice, is amended in part to read: "To Sof1ware0ne: 20875 <br />Crossroads Circle, Suite 1, Waukesha, WI 53186-4093". <br />
