M <br />INSURANCE NOT ON FILE <br />WORK MAY W1 PROCEED <br />CLERK <br />DATE, <br />A-2417-145 <br />C?-) WITH HOLLAND & KNIGHT LLP <br />+f" THIS FOURTH AMENDMENT to the above -referenced agreement is entered into on , 2017 <br />by and between Holland & Knight LLP, with its principal place of business at 800 17th Street N.W., Washington, <br />D.C. 20006 ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"), <br />RECITALS <br />A. The parties entered into Agreement ##A-2014-193, effective July 1, 2014 ("Agreement"), by which <br />Consultant agreed to provide federal legislative advocacy and liaison services to City. <br />B. The term of the Agreement was for an initial period of one year, from July 1, 2014 through July 1, 2015, with <br />two one-year options exercisable by the City. <br />C. The parties executed a First Amendment No. A-2014-193-01 to exercise the first option and extend the term of the <br />Agreement for an additional one-year period, from July 1, 2015 through June 30, 2016, <br />D. On May 9, 2016, the parties executed a Second Amendment No. A-2016-081 by which the annual compensation <br />payable to Consultant was increased from $100,800 (or $8,400 monthly) to $1,17,600 (or $9,800 monthly). <br />E. The parties executed a Third Amendment No. A-2014-193-02 to exercise the second option and extend the term of <br />the Agreement for an additional one-year period, from July 1, 2016 through June 30, 2017, <br />F. The parties now wish to amend the Agreement to further adjust the term of the Agreement effective July 1, <br />2017. <br />The Parties therefore agree: <br />1. Section 3.1.2., Term, is amended to extend the term of the Agreement on a month-to-month basis beginning <br />July 1, 2017, for a period of up to twelve months. <br />2. Except as modified by this Fourth Amendment, and all prior Amendments, all terms and conditions of the <br />Agreement shall remain in fall force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Fourth Amendment to the Agreement on the date <br />and year first written above. <br />ATTEST <br />M .iA D.
